In a notification released on the 31st of July, 2018 the Ministry of Corporate Affairs made amendments to the Companies (Accounts) Rules, 2014. These rules specified the matters to be included in the <span class=\"wpseo-score-text\">Board reports for OPC and Small Company among additions of a few clauses and amendments to sub-rule (5)<\/span><\/p>\n<h2 style=\"text-align: center;\"><span class=\"ez-toc-section\" id=\"Matters_to_be_included_in_Board_reports_for_OPC_and_Small_Company\"><\/span><strong>Matters to be included in Board reports for OPC and Small Company<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Once you have <a href=\"https:\/\/www.legalraasta.com\/opc-registration\/\" target=\"_blank\" rel=\"noopener\"><span style=\"color: #0000ff;\">registered an OPC<\/span><\/a>, there are a lot of compliances such as board reports and their particulars that need to be maintained to ensure smooth functioning of the company.<\/p>\n<p>Matters OPC and small companies should include in board reports:<\/p>\n<ul>\n<li style=\"text-align: justify;\">The web address, if any, where Annual Return referred to in sub-section (3) of section 92 has been placed.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The number of Board meetings during the year.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">Directors\u2019 Responsibility Statement.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">Details in respect of frauds reported by auditors under section 143(12) other than those which are reportable to the Central Government.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">Explanations or comments by the Board on every qualification, reservation or adverse remark or disclaimer made by the auditor in his report.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The state of the company\u2019s affairs.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The financial summary or highlights.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">Material changes from the date of closure of the financial year in the nature of a business and their effect on the financial position of the company.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The details of directors appointed or have resigned during the year.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The details or significant and material orders passed by the regulators or courts or tribunals impacting the going concern status and Company\u2019s operations in future.<\/li>\n<\/ul>\n<ul>\n<li style=\"text-align: justify;\">The Board\u2019s report shall also contain the particulars of contracts or arrangements with related parties referred to in Section 188(1) in\u00a0Form AOC-2.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>You can have a look at the <a href=\"http:\/\/www.mca.gov.in\/Ministry\/pdf\/companisAccountsRules_31072018.pdf\" target=\"_blank\" rel=\"noopener\"><span style=\"color: #0000ff;\">Official Notification<\/span><\/a> released by the Ministry of Corporate Affairs.<\/p>\n<p>&nbsp;<\/p>\n<p style=\"text-align: justify;\">At <a href=\"https:\/\/www.legalraasta.com\" target=\"_blank\" rel=\"noopener\"><span style=\"color: #0000ff;\">LegalRaasta<\/span><\/a> we understand that it can be tough to keep up with the latest amendments and rule changes.
