They would be the Authorized signatories to all work-related\u00a0documents.\u00a0Also, at least one of the Designated Partners must be a resident in India.<\/li>\n<li><strong><strong>Get a <a href=\"https:\/\/www.legalraasta.com\/director-identification-number\/\" target=\"_blank\" rel=\"noopener noreferrer\">Director Identification Number (DIN)<\/a><\/strong><\/strong><strong>:<\/strong> All designated partners must hold a Director Identification Number (<strong>DIN<\/strong>) from MCA, (Ministry of Corporate Affairs). Basic information and details, such as ID proof and Residence Proof) about the partner\u00a0would be filed online to acquire this. To register your LLP, you would need to file an application through E-form SPICe (for new ones ) or eForm DIR-3 (for an existing one)\u00a0<strong>online.\u00a0<\/strong>Just make sure to keep in mind the <a href=\"https:\/\/www.legalraasta.com\/blog\/key-changes-in-din-application-procedure\/\" target=\"_blank\" rel=\"noopener noreferrer\">Key changes in DIN Application procedure<\/a>.<\/li>\n<li><strong>DSC Registration:<\/strong>\u00a0The Designated Partners or Directors, now, must go through the <a href=\"https:\/\/www.legalraasta.com\/dsc-registration-process\/\" target=\"_blank\" rel=\"noopener noreferrer\">DSC registration process<\/a><strong>. <\/strong>These are used to ensure the security and authenticity of the documents filed electronically. As per MCA, all filings for LLP registration online are required to be filed using the DSC.<\/li>\n<li><strong>Name:<\/strong>\u00a0You need a name, for your LLP registration process. It must be a distinct name that no other\u00a0 LLP or Partnership firm or Company is already registered with.<\/li>\n<li><strong>Incorporate your <a href=\"https:\/\/www.legalraasta.com\/llp-registration\/\" target=\"_blank\" rel=\"noopener noreferrer\">LLP online<\/a>: <\/strong>File the form FiLLip online, with the details about the Proposed LLP, e.g. Reserved name, details about partners and the consent.<\/li>\n<li><strong>LLP Agreement:<\/strong> There must be an <strong>agreement<\/strong> between the partners or between the LLP and its partners. Information from this, need to be filled in <strong>Form 3<\/strong>, on the MCA portal. This enquires about the Liability part of the LLP Agreement.\u00a0 Else, the provisions in the First Schedule of the LLP Act, 2008 will be applied. These provisions govern the Rights, Duties, Indemnity, and Remuneration etc.<\/li>\n<li><strong>Fees:<\/strong>\u00a0Applicable fees are to be paid while filing online.<\/li>\n<li>Once the Registrar of Companies (<strong>ROC<\/strong>) is satisfied with the forms filed, you will be issued a Certificate of Incorporation, and an <strong>LLPIN<\/strong> (LLP Identification Number) will be assigned.<\/li>\n<li>With this <strong>LLPIN<\/strong>, you have the LLP License to start your business.<\/li>\n<\/ul>\n<h2 style=\"text-align: center;\"><span class=\"ez-toc-section\" id=\"Requirements_for_Foreign_Limited_Liability_Partnership_FLLP_Registration\"><\/span>Requirements for Foreign Limited Liability Partnership (FLLP) Registration<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>It is possible for foreign nationals and NRIs, to become a partner in an Indian LLP.<a>\u00a0The process for the same is a bit more elaborate.<\/a><\/p>\n<ul>\n<li>Submission of <strong>Passport<\/strong> is a pre-requisite. In this, you fill 2 proposed names for your\u00a0LLP. RUN LLP is being processed by the Central Registration Centre (CRC).\u00a0It allows only 1 re-submission if the initial 2 names have been rejected or objected to.<\/p>\n<p><strong>Step 3:<\/strong><\/p>\n<p>It is an integrated form offering multiple services\u00a0e.g.\u00a0 Reserving Name, allotting DIN, and Incorporating LLPs. It is to be attached to the above-stated documents, such as PAN card, Address Proof etc.<\/p>\n<p><strong>Step 4:<\/strong><\/p>\n<p>This must be filed within 30 days of the incorporation, printed on Stamp Paper.<\/p>\n<p><strong>Important Note:<\/strong><\/p>\n<p>Just remember, a maximum of 2 resubmissions is allowed if any defect found in Form FiLLiP. The\u00a0forms have to be re-submitted within 15 days of intimation of the defect.<\/p>\n<p>An, an Addendum to FiLLiP will be filed if the number of partners\/designated partners is\u00a0exceeding the maximum number allowed in the eForm.
