Annual return disclosing the facts have to be correct while fulfilling all the provision of the act.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Compliance_Aspects_For_Form_MGT-8\"><\/span><strong>Compliance Aspects For Form MGT-8<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Form MGT-8 requires a certificate of assurance that this aspect of the company\u00a0has complied with provisions of the Act &amp; Rules. The responsibility of the company secretary is limited only to listed regulation only.\u00a0Some of the following aspects\u00a0of compliance that Form MGT-8 deals with are:<\/p>\n<ol>\n<li>The status of the company under the Act,<\/li>\n<li>Maintaining the record, books, and making the entries within the given times,<\/li>\n<li>Records and filing of forms according to the annual return with the Central Government, the Tribunal, Court, <a href=\"https:\/\/companyregistrationonline.in\/blog\/roc-full-form\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Registrar of the Companies,<\/strong><\/a> Regional Director\u00a0and other authorities within\/beyond the prescribed time<\/li>\n<li>Calling\/ convening\/ holding <a href=\"https:\/\/www.legalraasta.com\/blog\/board-meeting-as-per-companies-act-2013\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Board meetings<\/strong><\/a> with the Board of Directors or its committees,\u00a0if any. And the meetings of the members of the company within the prescribed time. According to the annual return in respect of which meetings, proper notices were given and the proceedings including the circular resolutions and resolutions passed by postal ballot.<\/li>\n<li>The closure of Security holders\/Register\u00a0of Members,<\/li>\n<li>\u00a0Advances\/loans to its directors\u00a0and\/or firms or companies or person stated in section 185 of the Act;<\/li>\n<li>Arrangements\/ Contracts with\u00a0related parties\u00a0as referred in section 188\u00a0of the Act;<\/li>\n<li>Buyback of securities or shares \/redemption of preference shares or debentures\/<a href=\"https:\/\/www.legalraasta.com\/increase-authorised-share-capital\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>alteration of share capital\/<\/strong><\/a> or reduction of share capital\/ conversion of shares\/securities and issue of share certificates in all instances; \/Issue, allotment, transfer, the transmission of shares.<\/li>\n<li>Keeping in the state of dormancy\u00a0the right to share\u00a0rights, dividend and bonus share pending\u00a0registration of transfer of shares in compliance with the provisions of the Act.<\/li>\n<li>The signing of an audited financial statement according to the provisions of section 134 of the Act. And the report of directors is as per subsections (3), (4) and (5).<\/li>\n<li>Declaration\/ payment of dividend,\u00a0transfer of unpaid\/ unclaimed dividend\/other amounts as applicable to the Investor Education and Protection Fund in accordance with section 125 of the Act;<\/li>\n<li>Constitution\/ re-appointment\/ <a href=\"https:\/\/companyregistrationonline.in\/blog\/appointment-of-director\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>appointments of director<\/strong><\/a>\/ retirement\/ filling up casual vacancies\/retirement\/ disclosures of the\u00a0Directors, Key Managerial Personnel and the remuneration\u00a0paid to them.<\/li>\n<li>Appointment\/ reappointment\/ filling up\u00a0casual vacant auditors according to the provisions of section 139 of the Act;<\/li>\n<li>Taking approval through to the\u00a0Central Government, Tribunal, Regional Director, Registrar, Court\u00a0or from the other authorities as per the various provisions of the Act\u00a0are required to be considered.<\/li>\n<li>Acceptance\/ renewal\/ repayment of\u00a0deposits.<\/li>\n<li>Borrowings\u00a0from its directors, members, public financial institutions, banks, and others and <a href=\"https:\/\/www.legalraasta.com\/blog\/charge-creation\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>creation of charges<\/strong><\/a>\/ modification\u00a0of charges\/ satisfaction of charges in that respect, wherever applicable.<\/li>\n<li>Adaptation\u00a0of the provisions of the <a href=\"https:\/\/www.legalraasta.com\/memorandum-and-articles-of-association\/\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>Memorandum and Articles of Association<\/strong> <\/a>of the company.<\/li>\n<\/ol>\n<blockquote><p>Must Read:\u00a0<strong><a href=\"https:\/\/www.legalraasta.com\/blog\/compliances-of-private-limited-company\/\" target=\"_blank\" rel=\"noopener noreferrer\">Compliances of a Private Limited Company<\/a><\/strong><\/p><\/blockquote>\n<h2><span class=\"ez-toc-section\" id=\"Form_MGT-8_Penalties_for_Non-Compliance\"><\/span><strong>Form MGT-8: Penalties for Non-Compliance<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>If the company\u00a0secretary provides a\u00a0false certificate in Form MGT-8 which doesn&#8217;t fulfill all the provisions mentioned in the laws of Section 92 then the penalty has to be borne by the company secretary. The fine which the company secretary will bear will be not less than Rs 50,000\u00a0and might extend to Rs. 5 Lakh.<\/p>\n<p>A company secretary will be also liable for\u00a0disciplinary actions by the Disciplinary Committee of the ICSI as per the provision of the\u00a0Company Secretaries Act, 1980.<\/p>\n<p>If any return, report, certificate, financial statement, or any other document makes a false statement or omits any material or incorrect facts then the Section 448 of Companies Act, 2013 also imposes a penalty on the company secretary.<\/p>\n<p>A serious punishment of imprisonment is imposed if someone is found guilty or fraud. The imprisonment will be\u00a0for a minimum of 6 months and can extend to 10 years. Moreover, a fine will be imposed which will equal to the amount involved in the fraud or may be extended to three times of fraud amount involved in the fraud.
